Terms and Conditions

1. Acceptance of Terms

By accessing or using Momentum (the “Service”), operated by IndigoWave Tech (“Company”, “we”, “us”, or “our”), you agree to be bound by these Terms and Conditions (“Terms”). If you do not agree to these Terms, do not use the Service.

These Terms constitute a legally binding agreement between you and IndigoWave Tech. We may update these Terms from time to time; continued use of the Service after changes constitutes acceptance of the revised Terms.

2. Description of Service

Momentum is a white-label fitness platform designed for personal trainers and fitness professionals. The Service enables trainers to manage clients, schedule sessions, deliver workout and nutrition programs, collect check-ins, and process payments — all under a customizable brand.

3. Accounts

To use the Service, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us immediately at hello@indigowavetech.com if you suspect unauthorized access.

Each account corresponds to one workspace (trainer business). You may not transfer your account to another person without our prior written consent.

4. Free Trial

New accounts receive a 14-day free trial with full access to all features. No credit card is required to start a trial. At the end of the trial period, continued access requires a paid subscription. We reserve the right to modify trial terms at any time with notice.

5. Subscriptions and Billing

Paid subscriptions are billed on a recurring basis (monthly or annually, as selected) via Stripe. By subscribing, you authorize IndigoWave Tech to charge your payment method on the applicable billing cycle.

Subscription fees are non-refundable except where required by applicable law. You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period. We may change pricing with at least 30 days' notice.

6. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law or regulation.
• Transmit spam, malware, or other harmful content.
• Attempt to gain unauthorized access to any system or data.
• Harass, threaten, or harm any other person.
• Reverse-engineer, decompile, or disassemble the Service.
• Use the Service in a way that impairs its availability or performance.

We reserve the right to suspend or terminate accounts that violate these provisions.

7. Client Data

You retain ownership of all data you upload to the Service, including client information, session notes, and programming content. By using the Service, you grant IndigoWave Tech a limited license to store, process, and display your data solely as necessary to provide the Service to you.

You are responsible for ensuring that you have the necessary rights and consents to upload any data relating to your clients, and for complying with applicable data protection laws in your jurisdiction.

8. Intellectual Property

The Service, including its software, design, logos, and content (excluding your data), is owned by IndigoWave Tech and protected by intellectual property laws. Nothing in these Terms grants you a right to use our trademarks or branding.

9. Third-Party Services

The Service integrates with third-party providers including Stripe (payments), Supabase (data storage), and others. Your use of those services is subject to their respective terms and privacy policies. We are not responsible for the acts or omissions of third-party providers.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, INDIGOWAVE TECH SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRIOR TO THE CLAIM OR (B) USD $100.

12. Indemnification

You agree to indemnify and hold harmless IndigoWave Tech, its officers, directors, employees, and agents from any claims, losses, liabilities, damages, and expenses (including reasonable legal fees) arising out of your use of the Service, your violation of these Terms, or your infringement of any third-party rights.

13. Termination

We may suspend or terminate your access to the Service at any time for any reason, including violation of these Terms, with or without notice. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination will survive.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the jurisdiction in which IndigoWave Tech is incorporated, without regard to conflict of law principles. Any disputes shall be resolved exclusively in the courts of that jurisdiction, and you consent to personal jurisdiction therein.

15. Changes to Terms

We may modify these Terms at any time by posting the revised version on this page and updating the “Last updated” date. We will provide reasonable notice of material changes (e.g., via email or an in-app banner). Your continued use of the Service after the effective date constitutes acceptance.
